Corporate Legal Assistant
The opportunity
TCR has grown into a world leader in Ground Support Equipment, and that growth brings more entities, more corporate activity and an increasing need for strong governance. For you, that means an opportunity to join our developing legal function and take real ownership of the processes that keep our corporate organisation running smoothly.
Reporting directly to the Head of Legal, you will work closely with a small legal team, executive team of the company and senior stakeholders across the business. You will bring structure to corporate records and governance activities, keep important actions moving (such as approval processes) and help us improve the way we work.
You do not need to have legal education to make an impact in this role. We are looking for practical experience, sound judgement and a structured way of working. Your background could be in a legal team, notary office, corporate governance, company secretarial, corporate administration or an executive-support role with meaningful governance exposure.
Mission of the role
Bring structure, reliability and ownership to TCR’s corporate governance activities. You will ensure records are accurate, deadlines and approvals stay on track and open actions are followed through.
As you grow into the role, you will also have the opportunity to deepen your company-secretarial experience through areas such as board support and preparation of minutes.
Key accountabilities
You will play a central role in keeping our corporate governance organised, reliable and moving forward. You will:
· Own our corporate records, registers and trackers, making sure information is accurate, up to date and easy to find.
· Keep governance activities on track, coordinating deadlines, filings, resolutions, signatures and approvals from start to finish.
· Coordinate board and shareholder documentation, ensuring materials are accurate and ready when needed.
· Create visibility and momentum, keeping track of open actions and proactively following up with stakeholders.
· Support legal workflows across areas such as contracts, licences, litigation, real estate, data protection, insurance and compliance.
· Support M&A activities when needed, including due diligence, data rooms and post-closing follow-up.
· Improve how we work, documenting processes and helping create smarter, more consistent ways of managing legal and governance activities.
· Build trusted relationships with senior stakeholders and understand the wider business context behind the matters you support.
What success looks like
In your first 3 months
You will have learned how our corporate organisation works and taken ownership of your first activities:
· You know the group's legal entity structure and, for each entity in your scope, where to find its articles of association, registers, directors and authorised signatories, and powers of attorney.
· You have checked our entity records and trackers against the public registers (e.g. the Belgian Crossroads Bank for Enterprises and UK Companies House) and flagged any gaps or inconsistencies to the Head of Legal.
· You have taken over the corporate housekeeping calendar, including upcoming annual general meetings, approval and filing of accounts, and other statutory deadlines.
· You have coordinated your first board or shareholder resolutions end to end, from drafting and signature to filing and archiving.
· You know your key contacts in Commercial, Finance, Tax and HR, and the notaries, corporate service providers and law firms we work with.
After 6 months
You are the go-to person for corporate governance activities within your scope:
· Entity records, registers and trackers for your scope are complete and up to date, with changes recorded promptly after each corporate event (e.g. appointment or resignation of directors, changes of signatories or registered office).
· The annual corporate cycle for your entities (board approval of accounts, annual general meetings, filing of accounts and UBO register updates) runs on schedule, with no missed deadlines.
· Board and shareholder packs, resolutions and signature rounds are prepared and circulated on time, and signed documents are filed and archived without the team needing to chase.
· You circulate a regular (e.g. monthly) status update on open governance actions, showing what is pending, with whom and by when.
· You have documented at least two recurring processes (e.g. appointing a director, granting a power of attorney) and proposed practical improvements.
After 12 months
You have established yourself as a trusted owner of the corporate governance processes within your scope:
· Stakeholders can rely on you for accurate information, clear status updates and consistent follow-through.
· Governance and legal workflows are more structured, efficient and easier to manage.
· You understand how governance, contracts, and wider corporate activities connect, allowing you to make sound judgements about priorities and next steps.
· You are starting to broaden your company-secretarial experience, including board support and preparation of minutes where appropriate.
What will help you succeed
There is no single background that defines the right candidate for this role. You may have gained your experience in a legal team, notary office, governance function, company-secretarial environment or another corporate setting.
What matters most is that you bring:
· Relevant practical experience in corporate housekeeping, governance, entity administration, notarial work, legal or board support, or a comparable environment.
· A structured way of working and a strong eye for detail.
· The ability to manage documents, deadlines and workflows and see things through to completion.
· Confidence working with systems and an interest in making processes better.
· A professional and confident approach when working with senior stakeholders.
· The judgement to understand the wider context behind corporate and governance matters.
· Fluency in English. Dutch and/or French is a plus.
You do not need a law degree, master’s degree or traditional paralegal background. Practical experience, capability and the way you work matter more to us than academic credentials.
If you come from a notary office, corporate administration, legal support, governance or company-secretarial environment, or an executive-support role with genuine corporate governance exposure, we would be equally interested in hearing from you.
